MOYU Purchase & Delivery Terms for Retailers

1. General

Welcome to the world of stone paper! By placing an order with MOYU, you agree to these terms and conditions. We like to keep things simple, clear, and fair. Questions or feedback? Email us at retail@moyu.rocks.

2. Orders & Delivery

• Minimum order quantity = 24 notebooks per order.
• Notebooks are delivered in sets of 12.
• Delivery takes place within 2–5 working days after confirmation, unless agreed otherwise.

3. Payment & Pricing

The payment term is 14 days from the invoice date, unless agreed otherwise in writing.
All prices are excluding VAT and shipping costs (unless stated otherwise).

All products remain the property of MOYU until the invoice has been paid in full.
Until then, the retailer is not permitted to sell or use the goods.

If payment is overdue, the retailer must return the goods to MOYU upon request, at their own expense and without delay.

In case of late payment, we charge a delay fee of 2% per day on the outstanding amount. In addition, we apply a fixed compensation fee of 15% of the invoice total, with a minimum of €50 per invoice.

Any objections to the invoice must be submitted by registered mail within 8 days of delivery or invoice date. If no objection is received within this timeframe, the invoice is considered accepted. In the event of disputes, only the court in the district of the seller has jurisdiction.

4. Recommended Retail Prices

To safeguard the value of the MOYU brand, we apply MSRP pricing (as listed in our Retail Catalogue).

Undercutting is not permitted without prior written consent from MOYU.‍

5. Sales Channels

MOYU products are intended for sale through physical retail stores and the retailer’s own webshop.

It is not permitted to offer MOYU products via external marketplaces such as Bol.com, Amazon, eBay, Etsy, or similar platforms unless explicitly approved in writing.

If this condition is violated, MOYU reserves the right to terminate the partnership immediately.‍

6. Use of the MOYU Brand

You are welcome to use our product descriptions, photos, and visual materials as long as the brand is represented professionally, accurately, and in line with our mission.

Modifications to the brand or products are not allowed without our permission.‍

7. Returns & Damage

Please check your order upon delivery. Noticed any damage or issues? Notify us within 5 working days via retail@moyu.rocks, including photos.

• In the case of damage or incorrect delivery, MOYU will cover the return shipping costs.
• For voluntary returns (e.g., overstock or unsold products), return shipping is at the retailer’s expense.

Products can be returned within 30 days of delivery, provided they are unused and in original condition.

‍8. Intellectual Property

All MOYU designs, photos, texts, and materials remain our property. Use is only permitted for the resale of genuine MOYU products.‍

9. Termination

The retailer has the right to terminate the collaboration at any time without stating a reason.

The same applies to MOYU if the reseller does not comply with these terms and conditions.

MOYU is not liable for any consequential damages, indirect losses, or loss of profit on the part of the retailer.‍

10. Penalty Clause

In the event of breach of contract, MOYU reserves the right to claim compensation for both direct and demonstrable indirect damages.

If the retailer acts in violation of these terms, MOYU will notify them and provide a reasonable period to resolve the issue. If the violation continues after that period, MOYU has the right to impose a penalty of €50 per day, for as long as the breach continues.

All legal and extrajudicial costs arising from enforcement of compliance, payment, or returns will be fully charged to the retailer.
